These Terms apply to all services, software, platforms, and products provided under the Neurix Systems brand.
1. Nature of Services
Neurix provides:
- AI automation systems
- SaaS platforms
- CRM and workflow integrations
- Consulting and implementation services
Services may involve third-party tools and infrastructure.
2. Client Data Responsibility
Clients warrant that:
- They have lawful rights to all data provided
- Data collection complies with PIPEDA, CASL, and other applicable laws
Clients are solely responsible for:
- Consent management
- Data legality
- Communication compliance (including email outreach)
3. Data Processing Agreement (Core Clauses)
Where Neurix processes data on behalf of a client:
- Neurix acts as a data processor
- Processes data only per client instructions
- Implements reasonable safeguards
- Does not claim ownership of client data
Neurix may use subprocessors and infrastructure providers as necessary.
4. Acceptable Use
Clients may not use Neurix systems to:
- Send unlawful or spam communications
- Violate privacy laws
- Engage in fraudulent or abusive activities
Violation may result in immediate termination.
5. AI Systems Disclaimer
Neurix AI systems:
- Provide probabilistic outputs
- Are not guaranteed to be accurate or complete
Neurix is not liable for:
- Business decisions based on AI outputs
- Automated communications sent via client workflows
6. Intellectual Property
All Neurix systems, frameworks, and software remain our property unless otherwise agreed.
Clients retain ownership of their data.
7. Payments
Defined in proposals or agreements. Late payments may result in suspension.
8. Confidentiality
Both parties agree to protect confidential information.
9. Limitation of Liability
To the maximum extent permitted by law, Neurix shall not be liable for:
- Indirect or consequential damages
- Loss of revenue, data, or business opportunities
- Regulatory penalties arising from client misuse of data
Total liability is limited to fees paid within the preceding 3 months.
10. Indemnification
Clients agree to indemnify and hold Neurix harmless from:
- Data misuse claims
- Privacy law violations
- Unauthorized communications (email, SMS, etc.)
11. Termination
We may suspend or terminate services for:
- Non-payment
- Legal risk exposure
- Policy violations
12. Governing Law
Ontario, Canada.
13. Changes
Terms may be updated at any time.
